1. Agreement to Terms
These Terms of Service govern your use of the website at codercrew.xyz and the services provided by Coder Crew LLC, a Delaware limited liability company. By accessing the website or engaging our services, you agree to these terms. If you do not agree, do not use the site or engage our services.
2. Services
Coder Crew LLC provides custom software development, AI and automation implementation, consulting, and related technology services. The specific scope, fees, and timelines for any engagement are set out in a separately agreed written proposal or statement of work, which controls in the event of any conflict with these terms. Nothing on this website constitutes an offer to provide services or a guarantee of any particular result.
3. Client Responsibilities
Clients are responsible for providing timely access to the systems, materials, and personnel needed for the engagement; supplying accurate and complete information; providing any required third-party account credentials or API access; and ensuring that their use of the deliverables complies with all applicable legal and regulatory requirements in their industry. Coder Crew is not responsible for delays or failures caused by a client's failure to meet these obligations.
4. Fees and Payment
Fees, payment milestones, and schedules are set out in the applicable proposal. Invoices are due on the terms stated in that proposal. Coder Crew reserves the right to pause work on any engagement where an invoice remains unpaid past its due date. Fees for work already performed remain payable regardless of whether the engagement is paused or terminated.
5. Intellectual Property
Coder Crew retains ownership of all pre-existing tools, frameworks, libraries, methodologies, and general know-how used or developed independent of any specific engagement. Upon receipt of full payment for an engagement, Coder Crew assigns to the client the rights to the deliverables as specified in the applicable proposal. All content, trademarks, and materials on this website remain the property of Coder Crew LLC.
6. Third-Party Services
Deliverables may integrate with or rely on third-party platforms, APIs, or services. Those services are governed by their own terms of service and privacy policies. Coder Crew is not responsible for the availability, performance, pricing changes, or discontinuation of any third-party service, and makes no representations about their suitability for any particular purpose.
7. AI-Generated Output
Systems built by Coder Crew may produce automated or AI-generated output. Clients are solely responsible for implementing appropriate human review of that output in any context where their use case, industry, or applicable law requires it. No warranty is made that automated or AI-generated output is accurate, complete, or error-free.
8. Communications and SMS
We send text messages only to phone numbers where the sender actively checked the SMS consent box on our contact form at codercrew.xyz/contact. That box is unchecked by default and is not required to submit the form. Message types include appointment confirmations, reminders, reschedule and cancellation notices, missed-appointment follow-ups, replies to messages you send us, and project status updates for active clients. We do not send marketing or promotional messages. Message frequency varies based on your own inquiry and appointment activity.
Message and data rates may apply. Reply STOP to any message to opt out of all further messages; you will receive one final confirmation message. Reply HELP for assistance. Consent to receive messages is not a condition of purchase. Carriers are not liable for delayed or undelivered messages.

9. Confidentiality
Each party agrees to keep confidential any non-public information received from the other party in connection with an engagement, and not to disclose it to third parties without prior written consent, except as required by law. This obligation does not apply to information that is or becomes publicly available through no fault of the receiving party, or that was already known to the receiving party before disclosure.
10. Warranties and Disclaimers
Coder Crew will provide services in a professional and workmanlike manner consistent with reasonable industry standards. Except as expressly stated in these terms or an applicable proposal, the website and services are provided “as is” without any representation or warranty of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
11. Limitation of Liability
To the fullest extent permitted by law, Coder Crew LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to these terms or any engagement. Coder Crew's aggregate liability for any claim arising out of a specific engagement will not exceed the total fees paid by the client for that engagement.
12. Indemnification
You agree to indemnify, defend, and hold harmless Coder Crew LLC and its members, employees, and contractors from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your data or content, your use of any deliverables in violation of applicable law, or your breach of these terms.
13. Termination
Either party may terminate an engagement in accordance with the terms of the applicable proposal. Upon termination, fees for all work performed through the date of termination remain due and payable. Provisions that by their nature should survive termination, including intellectual property, confidentiality, limitation of liability, and governing law, will do so.
14. Governing Law
These terms and any dispute arising out of or related to them are governed by the laws of the State of Delaware, without regard to its conflict of law rules.
15. Changes to These Terms
Coder Crew may update these terms from time to time. When we do, the updated version will be posted on this page with a revised “Last updated” date. Continued use of the site or services after the date of any update constitutes acceptance of the revised terms.
